TERMS OF SERVICE

Effective Date: June 12, 2025

1. Scope of Services

1.1 We agree to deliver photorealistic 3D stills, cinematic walkthroughs, and/or VR tours (the “Services”) as described in the accompanying Proposal or Project Brief.

1.2 Any work outside the agreed-upon Services (e.g. additional model creation, separate animations, rush delivery) is “Out of Scope” and will incur Additional Charges per Section 4.

2. 100% Satisfaction Guarantee

2.1 Our Commitment
We stand behind every deliverable. If you identify an error or element that does not meet the agreed scope, we will correct it at no additional cost—mobilizing our team across time zones, if necessary—to ensure your full satisfaction.

2.2 Real-World Flexibility
We recognize that in high-end development projects, plans evolve. Whether the issue arises from you (for example, a revised material spec submitted 15 days after initial delivery), we will work with you in good faith to implement the needed adjustments. Our aim is to support your project’s success now and foster a long-term partnership.

2.3 Balanced Scope & Discretion
To maintain fairness and prevent misuse, we evaluate each satisfaction request against the original scope. If a request clearly extends beyond that scope or results from delayed feedback that impacts our schedule, we will discuss any reasonable additional fees before proceeding.

2.4 How to Request
Submit your satisfaction request in writing within seven (3) days of receiving the final deliverable, detailing the specific changes you require. We will acknowledge your request within 24 hours and provide a plan and timeline for the revision.

3. Revisions

3.1 You receive three (3) rounds of revisions per deliverable. Each round may include adjustments to lighting, materials, camera angles, or minor model tweaks.

3.2 Revision requests must be consolidated and delivered in writing—clearly numbered—to ensure efficiency.

3.3 Any request beyond three rounds, or any change that materially alters the original scope, will be treated as a Scope Change under Section 4.

4. Additional Charges & Scope Changes

4.1 Scope Changes include, but are not limited to:

New geometry or complex modeling beyond what was agreed
Changes to deliverable format (e.g. adding VR if originally only stills)
Fast-track/rush delivery within less than 72 hours

4.2 Additional Charges are billed at $150/hour or a mutually agreed flat fee. We will provide a written estimate before proceeding.

5. Fees, Payment & Invoicing

5.1 Deposit: 50% of total Project Fee due upon signing. Work begins only after deposit clears.
5.2 Milestone Payments: 25% due at storyboard or first-draft stage; 25% due upon final delivery.
5.3 Payment Terms: All invoices are due net 30 days from invoice date. Late payments incur a 1.5% per month finance charge.
5.4 Methods: ACH, Zelle, Venmo or credit card (Client pays procesing fee).

6. Intellectual Property

6.1 Upon full payment, you receive exclusive, perpetual rights to use final rendered images/videos for any purpose.
6.2 We retain the right to showcase non-confidential project images in our portfolio and marketing, unless you request otherwise in writing.

7. Confidentiality

7.1 We will keep all your proprietary materials—floor plans, design files, pricing—strictly confidential.
7.2 You agree to treat our techniques, workflows, and internal rates as confidential.

8. Termination

8.1 Either party may terminate upon 10 days’ written notice if the other materially breaches these Terms and fails to cure.
8.2 Upon termination, you pay for all work completed to date and any non-cancellable expenses we incurred.

9. Limitation of Liability & Indemnification

9.1 Our liability for any claim shall not exceed the total fees paid by you for the Services giving rise to the claim.
9.2 You agree to indemnify and hold us harmless from any third-party claims arising from your use of the deliverables.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida. Any dispute will be resolved by binding arbitration in Miami-Dade County under the American Arbitration Association rules.

By signing the attached Proposal or making an initial deposit, you agree to these Terms of Service.
